These Terms of Service are an agreement between you and Cleverly Genius LLC, a Mississippi limited liability company based in Rankin County, Mississippi ("Cleverly Genius," "we," "us"). They apply to every Clever Members companion plugin you install from Plugins, AI Packages, Services, whether the plugin is free or paid. By checking the box to agree and installing, subscribing to, or using a companion plugin, you accept these terms.

1. Free Companion Plugins

A free companion plugin costs nothing to install or use.

• You may use it on the website where it was installed, for as long as it is offered for free.
• Cleverly Genius may change a free plugin to a paid plugin in the future. If that happens, we will tell you before any charge applies, and you can choose to subscribe or remove the plugin.
• Support for free plugins is provided as time allows and is not guaranteed.
• Some free plugins may offer paid add-ons, such as AI packages. Those add-ons follow Section 2.

2. Paid Companion Plugins

Price. The price of each paid plugin is shown in Plugins, AI Packages, Services before you subscribe.

Subscription and renewal. Paid plugins are sold as subscriptions. Your subscription renews automatically at the end of each billing period, monthly or yearly as shown when you subscribed, until you cancel it.

Payment. You agree to keep a valid payment method on file. If a renewal payment fails, the plugin may stop working on your website until the payment is made.

Cancellation. You may cancel at any time. The plugin keeps working until the end of the period you already paid for, then stops working. Your data in the plugin is not deleted when the subscription ends, unless you choose to remove it.

Refunds. There are no refunds.

Price changes. We may change the price of a paid plugin. A new price applies starting with your next billing period after the notice.

3. Your License

Cleverly Genius owns every companion plugin. You receive a license to use each plugin, not ownership of it.

• A plugin is licensed to the one website where it was installed. To use it on another website, install it there separately.
• You may not copy, resell, share, give away, or redistribute a plugin, or change its code to get around its license check.
• If a plugin is moved to another website, or a paid subscription ends, the plugin stops working on that website.

4. Clever Members Is Required

Companion plugins work only with the Clever Members plugin. You must keep Clever Members installed and its own license active for companion plugins to keep working. The Clever Members Terms of Service also apply.

5. Updates and Support

While a plugin is free or your subscription is active, you receive its updates. Updates may add, change, or remove features. Support for paid plugins is provided through Report an Issue in Clever Members, or through cleverlygenius.com.

6. Third-Party Services

Some plugins connect to outside services, such as PayPal, Square, Stripe, YouTube, Google Maps, or AI providers. Those services are owned by other companies, follow their own terms and fees, and may change or stop without notice. Cleverly Genius is not responsible for them.

7. Payments and Customers on Your Website

Some plugins let your website take payments, bookings, rentals, or sign-ups from your own customers. Those payments go to your own payment account, not to Cleverly Genius. You are responsible for:

• Your prices, refunds, and taxes
• Your own terms of service and policies for your customers
• The content you publish with the plugin
• Following the laws that apply to your business

8. Your Privacy

Cleverly Genius LLC does not sell, rent, or trade customer information to anyone. We do everything we reasonably can to protect your privacy. We keep only what is needed to provide, license, bill, and support your plugins, such as your name, email address, website address, and subscription details. Your website's own data, including your customers' information, stays on your website.

9. No Warranty

We build and test every companion plugin with care. Beyond what is written in these terms, free and paid plugins are provided "as is." We do not promise that a plugin will be free of every error or work with every theme, plugin, or hosting server. We recommend keeping regular backups of your website.

10. Limit of Liability

To the fullest extent allowed by law, Cleverly Genius's total liability for any claim related to a companion plugin is limited to the amount you paid for that plugin in the 12 months before the claim. For a free plugin, that amount is zero. We are not responsible for lost profits, lost data, or other indirect damages.

11. Ending Your Use

You may stop using a plugin at any time by removing it. We may end your license if you break these terms, for example by sharing or reselling a plugin. We may also retire a plugin; if we retire a paid plugin, we will give at least 30 days' notice and stop billing for it.

12. Changes to These Terms

We may update these terms from time to time. The new version will show a new effective date. You may be asked to agree to the updated terms the next time you install or subscribe to a plugin.

13. Governing Law

These terms are governed by the laws of the State of Mississippi. Any dispute will be handled in the state or federal courts located in or serving Rankin County, Mississippi.
