Clever Members Plugin TOS

Effective date: October 10, 2026

These Terms of Service are an agreement between you and Cleverly Genius LLC, a Mississippi limited liability company ("Cleverly Genius," "we," "us"). They apply when you buy, subscribe to or download the Clever Members WordPress plugin ("Clever Members" or "the plugin"). By checking "I agree with the Terms of Service" and completing your purchase or download, you agree to these terms.

What you get

A license to install and use Clever Members on the number of websites you chose at checkout. Each website uses one license; reinstalling on the same website does not use another.
The installer plugin, which installs the newest Clever Members on each of your websites.
Updates and new versions released while your subscription is active.
A Raya trial key with AI credits for each website, as offered at the time of purchase.

Your licenses belong to the email address used at checkout. You may move a license from one of your websites to another through your account page.

Subscription, renewal and cancellation

Clever Members is sold as a yearly subscription. You are billed through PayPal on the day you subscribe and then every year until you cancel.
A coupon lowers only the first year unless the coupon says otherwise.
You may cancel at any time through PayPal or by contacting us. Your license stays active until the end of the year you paid for.
If a renewal payment fails or the subscription ends, Clever Members may lock its administration area on your websites until the license is renewed. Your website content and data are not deleted.
Prices may change for future renewal periods. We will tell you before a new price applies to you.

Free downloads

When a package is offered free, these terms still apply. Free packages may be changed or withdrawn at any time.

Refunds

Clever Members plugin and its Companion plugins are offered as is. There are no refunds available.

Companion plugins, AI packages and services

Companion plugins, Raya AI packages and services bought inside Clever Members are separate purchases. Each may have its own terms, which you agree to when you buy it.

How you may use Clever Members

You may use the plugin on your own websites, or on websites you manage for others, up to the number of licenses you bought.
You may not resell, sublicense, share or publish the plugin, its installer or its license keys.
You may not remove license checks, copy the plugin's code into another product, or use the plugin for anything illegal, abusive or harmful.
If you are designing websites for others you are responsible for the content on your websites and for following the laws that apply to your members, payments and communications except for those that involve payments for companion plugins and support tickets issued through the Clever Members plugin.

Ownership

Clever Members plugin, companion plugins, and custom plugins, Raya AI and their code, design and documentation belong to Cleverly Genius LLC. Your license lets you use them; it does not transfer ownership. Your website content and member data belong to you.

Your privacy

Cleverly Genius LLC does not sell, rent or trade customer information. We collect only what we need to provide the plugin: your name, email address, the web addresses where the plugin is installed, and your purchase records. Payments are processed by PayPal; we never see or store your full card number. We use secure connections, limit who can access customer information, and do everything we reasonably can to protect your privacy. We share information only when needed to process a payment, provide a service you requested, or when the law requires it.

Support

Support is provided through the Support area in Clever Members and through cleverlygenius.com. We aim to answer as quickly as possible.

No warranty

Clever Members is provided "as is." We work to keep it reliable and secure, but we do not promise it will be free of errors or work with every theme, plugin or hosting server. Keep your own backups of your websites unless your website is being managed by Cleverly Genius LLC.

Limit of liability

To the fullest extent the law allows, Cleverly Genius LLC is not liable for indirect, incidental or consequential damages, lost profits, or lost data.

Ending the agreement

You may stop using Clever Members at any time. We may end your license if you break these terms, after telling you why when the law allows.

Changes to these terms

We may update these terms. The version you agreed to applies to your current purchase; new versions apply to renewals and new purchases, and we will show them before you agree.

Governing law

These terms are governed by the laws of the State of Mississippi. Any dispute will be handled in the courts of Rankin County, Mississippi.

2. Terms of Service: Clever Members Plugin with Installation and Configuration

These Terms of Service are an agreement between you and Cleverly Genius LLC, a Mississippi limited liability company ("Cleverly Genius," "we," "us"). They apply when you buy the Clever Members WordPress plugin ("Clever Members") together with installation and configuration by Cleverly Genius. By checking "I agree with the Terms of Service" and completing your purchase, you agree to these terms.

What we do for you

Install Clever Members on your website and set up its main settings, such as your site identity, membership settings, payment processor and email sending.
Connect Raya, the AI assistant, with the trial key or package included in your purchase.
If you choose these options, we can also:
- set up your hosting server, including WordPress and a security certificate (SSL) unless you already have one set up;
- register or connect your domain name and point it to your server;
- create email accounts on your server for you and your team.

The exact work, schedule and price are listed in your package or written quote. Work not listed there is extra and is quoted before we begin.

What we need from you

Accurate information, logins and approvals when we ask for them. Delays on your side may move the schedule.
Access to your hosting, domain registrar or WordPress administration area, if they are already in your name. Please create a separate login for us when you can, and change or remove it when the work is done.
Your content: text, logos, photos, prices and membership rules. You confirm you have the right to use everything you give us.

Hosting, domain names and email accounts

Hosting servers, domain names and email accounts are provided by third-party companies. Their own terms and fees apply, and we are not responsible for their outages or policy changes.
Domain names and hosting accounts we set up for you are registered in your name, or transferred to you when you ask, unless we agree in writing to keep them in our account on your behalf.
Renewal fees for hosting and domain names are your responsibility. A domain that is not renewed can be lost.
We are not responsible for email delivery problems caused by your provider, spam filters or how mailboxes are used.

Your Clever Members license

Your purchase includes a Clever Members license for the number of websites shown at checkout. It is a yearly subscription, billed through PayPal until you cancel. If a renewal fails or the subscription ends, Clever Members may lock its administration area until the license is renewed; your content and data are not deleted. You may not resell, share or publish the plugin or its license keys.

Payment and refunds

Installation and configuration fees are due [when you order / as stated in your quote].
There are no refunds available.

When the work is finished

We will tell you when installation and configuration are complete. You have 30 to 60 days to report anything that does not match what was agreed [depending on the package that was bought], and we will correct it at no charge. Later changes are new work.

We keep passwords private, never share them, and ask you to change them once the work is complete. Payments are processed by PayPal; we never see or store your full card number. We share information only with providers needed for your order, such as a hosting company or domain registrar, or when the law requires it.

No warranty

We do careful, professional work, but Clever Members, hosting servers and third-party services are provided "as is." We do not promise they will be free of errors or interruptions. Keep regular backups of your website.

3. Terms of Service: Website Design Package

These Terms of Service are an agreement between you and Cleverly Genius LLC, a Mississippi limited liability company ("Cleverly Genius," "we," "us"). They apply when you hire Cleverly Genius to install and configure the Clever Members WordPress plugin ("Clever Members") and design your website. By checking "I agree with the Terms of Service" and completing your purchase, you agree to these terms.

What we do for you

Set up your hosting server, including WordPress and a security certificate (SSL).
Register or connect your domain name and point it to your server.
Create email accounts on your server for you and your team.
Install Clever Members, set up its settings and connect Raya, the AI assistant in Trial mode.
Design your website: the pages, header, footer, menus, forms and styling listed in your package or written quote.

The number of pages, design rounds, features and the schedule are listed in your package or quote. Anything not listed is extra and is quoted before we begin.

How the design works

We review your goals, brand, colors and examples of websites you like.
We build a first design and share it with you.
You send your changes. Your package includes 3 rounds of changes. Additional rounds of changes will be billable.
When you approve the design, we finish the website and make it live.

You are responsible for reviewing the website before it goes live. Changes requested after approval, or beyond the included rounds, are new work.

What we need from you

Your content: text, logos, photos, videos, prices and membership rules, sent by the dates we agree on. If content is late, the schedule moves.
Logins and approvals when we ask for them. Please create separate logins for us when you can, and change or remove them when the work is done.
Confirmation that you have the right to use everything you give us. Images and fonts we license for your design are used under their own licenses.

Hosting, domain names and email accounts

Hosting servers, domain names and email accounts are provided by third-party companies. Their own terms and fees apply, and we are not responsible for their outages or policy changes.
Domain names and hosting accounts we set up for you are registered in your name, or transferred to you when you ask, unless we agree in writing to keep them in our account on your behalf.
Renewal fees for hosting and domain names are your responsibility unless your package says we pay them. A domain that is not renewed can be lost.
We are not responsible for email delivery problems caused by your provider, spam filters or how mailboxes are used.

Ownership of the design

After your design package is paid in full, the website design made for you, your pages and your content belong to you.
Clever Members plugin, companion plugins, and custom plugins, Raya AI and their code, design and documentation belong to Cleverly Genius LLC. Your license lets you use them; it does not transfer ownership.
We may show your website in our portfolio unless you ask us not to.

Your Clever Members license

Your package includes a Clever Members license for the number of websites shown at checkout. It is a yearly subscription, billed through PayPal until you cancel. A deposit is necessary for Cleverly Genius LLC to start work. The remaining balance must be paid in full before your website goes live. You will have up to 7 business days to pay in full once work has been completed.
There are no refunds.
We may pause work, or wait to make the website live, until payments due are made. You will have up to 7 business days to pay in full.

Cleverly Genius LLC does not sell, rent or trade customer information. We use your information, content, logins and server access only to build and set up your website. Ending the agreement

Either of us may end unfinished work with written notice. You pay for the work completed up to that point, and the design belongs to you once that work is paid. We may end your license if you break these terms.

We may update these terms; the version you agreed to applies to your current package. These terms are governed by the laws of the State of Mississippi, and any dispute will be handled in the courts of Rankin County, Mississippi.

4. Terms of Service: Custom Plugin Development

Effective date: October 10, 2026

These Terms of Service are an agreement between you (the customer) and Cleverly Genius LLC, a Mississippi limited liability company ("Cleverly Genius," "we," "us"). They apply when you hire Cleverly Genius to design and build a custom plugin for your website. By approving a quote, paying a deposit, or checking the box to agree, you accept these terms.

What we build

A custom plugin is software we write for you based on the features you describe. Before work begins, we will agree with you in writing on a project scope that lists what the plugin will do, the price, and an estimated timeline. Anything not listed in the scope is extra work and may be quoted separately.

Your plugin is yours alone

Every custom plugin we build is made for one customer only. Cleverly Genius LLC will not share, sell, resell, license, give away, or list your custom plugin in Raya, the Clever Members store, or anywhere else, and we will not build a copy of it for another customer. Your plugin's code, design, and the business ideas behind it stay private between you and us.

To be clear about what this covers: we may continue to use our own general tools, code libraries, and know-how (for example, the Clever Members framework and common functions we use in many projects) in other work. Those general building blocks are not unique to your plugin. What we will not do is give anyone else the plugin we built for you or a plugin that does the same thing using your ideas.

Ownership and license

Cleverly Genius LLC keeps ownership of your custom plugin's code. We keep ownership so that we can maintain, update and repair the plugin for you as WordPress, PHP and your website change. Ownership does not give us the right to share it: the plugin is still made for you alone, and we will never sell, share, license or give it to anyone else. If you abandon the plugin though, we may duplicate features in a different way into another plugin.

Once you have paid, Cleverly Genius gives you an exclusive license to use the plugin on [number] website(s) for as long as you keep your [subscription / maintenance plan] active. Because the license is exclusive, no one else will ever receive the plugin. You may not sell, share or give the plugin's code to anyone else, or change its code without our written permission.

Plugins that work with Clever Members

If your custom plugin is built to work with Clever Members, you must keep an active Clever Members license for the plugin to keep working as designed. The Clever Members Terms of Service apply to that license.

Approval and changes

We will show you the plugin for testing before we call it finished. The price includes 3 rounds of changes that fall within the agreed scope. New features or changes outside the scope are quoted separately before we do them.

Payment

The price and payment schedule are listed in your quote. [Deposit amount or percentage] is due before work begins and the balance is due [when the plugin is delivered / on a stated schedule]. We may pause work if a payment is late. There are no refunds.

Maintenance and updates

WordPress, PHP, and other plugins change over time, and those changes can affect your custom plugin. This is why we charge a small yearly fee to maintain it.

What we need from you

You agree to give us clear descriptions of what you need, timely answers to questions, and any access we need to test the plugin on your website. Delays on your side may move the timeline.

Your privacy

Cleverly Genius LLC does not sell, rent or trade customer information to anyone. We do everything we reasonably can to protect your privacy and the information you share with us, including your business details, your plan for the plugin, and any login information or website data we see while doing the work. We use that information only to build, deliver and support your plugin, and we share it only when the law requires us to.

No warranty

We build every plugin with care and test it before delivery. Beyond what is written in these terms, the plugin is provided "as is," and we do not promise it will be free of every error or work with every other plugin, theme or server setup.

Limit of liability

To the fullest extent allowed by law, Cleverly Genius's total liability for any claim related to a custom plugin is limited to the amount you paid for that plugin. We are not responsible for lost profits, lost data, or indirect damages.

Ending the agreement

Either side may end the project with written notice. If the project ends early, you pay for the work completed up to that point, and we deliver the work you have paid for. Our promise never to share or sell your plugin continues after the project ends. If you do not renew the maintenance fee, we may include functionality of the plugin into a different one.

Changes, governing law and contact

We may update these terms from time to time; changes do not affect a project already under way unless you agree. These terms are governed by the laws of the State of Mississippi, and any dispute will be handled in the courts of Rankin County, Mississippi.
